Bloq Trial / Pilot User Agreement

PLEASE READ THE FOLLOWING CAREFULLY BEFORE ACCEPTING THESE TRIAL USER TERMS AND REGISTERING FOR, ACCESSING, AND/OR USING THE PLATFORM.

By selecting the box "I agree", or otherwise accessing and using the Platform (as defined below), you acknowledge that you, on your own behalf (collectively "you", "your" or "User"), have read, understood, and agree to comply with the terms and conditions below (the "Trial Terms"), and are entering into a binding legal agreement with Bloq Quantum Pvt Ltd ("Bloq", "us", "we" or "our").

You represent, warrant and covenant that you are at least 18 years old. If you do not agree to comply with and be bound by these Trial Terms, or if you wish to use the Platform for commercial or business purposes, please do not accept these Trial Terms or access or use the Platform. Our Trial Terms may be updated from time to time; please check back periodically on our Site for the latest version of these Terms.

1. License Grant and Purpose

Subject to User's compliance with these Trial Terms, Bloq grants User a limited, personal, non-exclusive, non-transferable, and revocable license to access and use Bloq's quantum platform available at https://alpha.bloq.in/ (the "Platform") strictly for a limited trial period.

User shall use the Platform in accordance with applicable laws and regulations. You hereby represent and warrant that your use of the Platform is solely for your personal, academic, or non-commercial evaluation purposes (the "Purpose"). You will not otherwise use or exploit the Platform (or allow anyone else to use or exploit the Platform) for any commercial or business use.

2. Trial Duration and Termination

2.1 Limited Trial Period: This license is granted for a strictly limited period of fourteen (14) days commencing from the date you first access the Platform (the "Trial Period").

2.2 Termination: Upon the expiration of the 14-day Trial Period, your access to the Platform will automatically terminate unless you upgrade to a paid commercial tier under a separate agreement. Notwithstanding the foregoing, Bloq may, at its sole discretion, suspend, restrict, or terminate your account and these Trial Terms at any time, for any reason, with or without notice.

3. Data Persistence and Storage

As this is a free trial/pilot offering, Bloq provides the Platform "as is." Bloq does not guarantee the persistency, storage, or safety of user data, code, or quantum circuits. Data may be deleted, purged, or lost at any time without prior notice. It is the User's sole responsibility to back up any data they submit to or generate on the Platform.

4. Intellectual Property Rights

4.1 Title to Platform: Bloq retains all right, title, and interest in and to the Platform, including all intellectual property rights therein, and all derivatives, improvements, enhancements, and underlying algorithms.

4.2 Quantum Data Ownership: In consideration for the free access granted under this Trial, Bloq shall own all right, title, and interest, including all intellectual property rights therein, with respect to the Platform's inputs, outputs, and deliverables, including, without limitation, all quantum models, quantum programs, and corresponding metadata submitted or generated by the User during the Trial Period. Bloq may use the foregoing for any purpose, including for the development and improvement of Bloq's products or services. User hereby irrevocably transfers and assigns to Bloq all intellectual property rights it has in such inputs and outputs.

4.3 Feedback: Any suggestions, error reports, or feedback provided by the User regarding the Platform shall be exclusively owned by Bloq, and Bloq may freely use such feedback without restriction or royalty.

5. Confidentiality and Benchmarking

The Platform is currently in a pilot/alpha phase and constitutes the Confidential Information of Bloq. User shall keep all aspects of the Platform confidential.

Benchmarking Restriction: User strictly agrees not to publish, share, or disclose any performance benchmarks, performance reviews, comparisons, outputs, or screenshots of the Platform to any third party or to the public without the express, prior written consent of Bloq.

6. License Restrictions

User must not, and shall not allow any third party to:

  1. modify, create derivative works of, or distribute any part of the Platform;
  2. sell, license, lease, assign, or share User's account or rights with any third party;
  3. attempt to reverse engineer, decompile, or discover the Platform's source code or algorithms;
  4. use the Platform for cryptocurrency mining, illegal cryptographic cracking, or any malicious activity;
  5. exceed fair-use computation limits or disrupt servers connected to the Platform.

7. Warranty Disclaimer

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. BLOQ HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLOQ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR SOLE DISCRETION AND RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(A) BLOQ SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, OR REVENUE) ARISING OUT OF OR RELATING TO THESE TRIAL TERMS AND/OR IN CONNECTION WITH THE PLATFORM.

(B) IN NO EVENT SHALL BLOQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TRIAL TERMS EXCEED THE TOTAL AMOUNT OF ₹1,000 INR (ONE THOUSAND INDIAN RUPEES).

9. Governing Law and Jurisdiction

These Trial Terms and the relationship between you and Bloq shall be governed by and construed in accordance with the laws of India. You agree to submit to the personal and exclusive jurisdiction of the courts located in Kerala, India, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

10. Miscellaneous

These Trial Terms, along with Bloq's Privacy Policy, constitute the entire agreement between you and Bloq concerning the free trial of the Platform. If any provision is deemed invalid by a court of competent jurisdiction, the invalidity shall not affect the remaining provisions. These Trial Terms do not create any partnership or agency relationship.
