Welcome to the Bloq website at https://www.bloq.in/ and our quantum platform at https://alpha.bloq.in/ (together with their subdomains, Content, Marks, and services, the "Site" or "Platform").

Please read the following Terms of Use ("Terms") carefully before using this Site so that you are aware of your legal rights and obligations with respect to Bloq Quantum Pvt Ltd ("Bloq", "we", "our" or "us"). By accessing or using the Site or Platform, you expressly acknowledge and agree that you are entering a legal agreement with us and have understood and agree to comply with, and be legally bound by, these Terms of Use, together with our Privacy Policy. You hereby waive any applicable rights to require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent not prohibited under applicable law.

If you do not agree to be bound by these Terms, please do not access or use the Site or Platform.

1. Background

The Site and Platform are intended to inform you about Bloq's products and provide you with access to our quantum computing platform and related services (collectively, the "Services").

2. Modification

We reserve the right, at our discretion, to change these Terms at any time. Such change will be effective 10 days following the posting of the revised Terms on the Site, and your continued use of the Site thereafter means that you accept those changes.

3. Ability to Accept Terms (Age Restriction)

The Site and Platform are strictly intended for individuals aged 18 years or older. If you are under 18 years of age, please do not visit or use the Site or the Platform. By using the Services, you represent and warrant that you are at least 18 years old.

4. Site Access and Account Security

For such time as these Terms are in effect, we hereby grant you permission to visit and use the Site provided that you comply with these Terms and applicable law.

Account Sharing Prohibited: If you create an account on the Platform, your account is strictly for your individual use. You may not share your account credentials, passwords, or access rights with any other individual or entity. You are solely responsible for maintaining the confidentiality of your account details.

5. Restrictions and Acceptable Use

You shall not:

  1. copy, distribute, or modify any part of the Site without our prior written authorization;
  2. use, modify, create derivative works of, transfer, reproduce, or distribute Content (defined below), except as expressly authorized herein;
  3. disrupt servers or networks connected to the Site;
  4. use or launch any automated system to access the Site;
  5. circumvent, disable, or otherwise interfere with security-related features of the Site;
  6. use the Platform or Services for cryptocurrency mining;
  7. use the Platform or Services for illegal cryptographic cracking, unauthorized decryption, or any malicious activity; and/or
  8. deliberately exceed fair-use computation limits or otherwise abuse platform resources.

6. Intellectual Property Rights

6.1. Bloq Content and Marks. The content on the Site, including without limitation, the text, software, scripts, graphics, and services (collectively, the "Content"), and the trademarks, service marks, and logos contained therein ("Marks"), are the property of Bloq and/or its licensors and are protected by applicable copyright and intellectual property laws.

6.2. User Content and Quantum Data. As a user of our quantum platform, you may upload proprietary data, code, or quantum circuits. You retain all ownership rights to your data. However, to provide the Services to you, we require certain permissions. By uploading or generating data on the Platform, you grant Bloq a limited, non-exclusive, worldwide, royalty-free license to process, execute, and store this data solely for the purpose of providing the Services to you. As detailed in our Privacy Policy, we treat this data as strictly confidential.

7. Subscriptions and Refund Policy

Certain features of the Platform may require payment of fees. All payments are processed securely via our third-party payment processor, Razorpay.

Refund Policy: All sales, subscription fees, and computing resource purchases are strictly final and non-refundable. We do not offer refunds or credits for partially used billing periods or unused computation limits.

8. Warranty Disclaimers

THE SITE AND PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. BLOQ HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLOQ DOES NOT GUARANTEE THAT THE SITE WILL BE FREE OF BUGS, SECURITY BREACHES, OR VIRUS ATTACKS, OR THAT QUANTUM COMPUTATIONS WILL ALWAYS YIELD ERROR-FREE RESULTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, BLOQ SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OF ANY KIND ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF BLOQ FOR ANY DAMAGES ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO BLOQ FOR USING THE SITE DURING THE THREE (3) MONTHS PRIOR TO BRINGING THE CLAIM.

10. Indemnity

You agree to defend, indemnify and hold harmless Bloq and our affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from: (i) your use of, or inability to use, the Site or Platform; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

11. Governing Law and Jurisdiction

These Terms and the relationship between you and Bloq shall be governed by and construed in accordance with the laws of India, without regard to its principles of conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the courts located in Kerala, India, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

12. General

These Terms, alongside the Privacy Policy, shall constitute the entire agreement between you and Bloq concerning the Site. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
